1. Who We Are

BuildSmart Academy is a Florida-based contractor education company founded by Matthias Williams, Licensed General Contractor (License No. CGC1509042). We develop systems, templates, and training resources for construction business owners.

2. Who Can Buy

By purchasing, you confirm that you:

• Are at least 18 years old
• Have the legal authority to enter into a binding agreement
• Are purchasing for a legitimate business or educational purpose
• Have provided accurate and complete information during checkout

If you are purchasing on behalf of a company, you confirm that you are authorized to bind that company to these Terms.

3. What You Are Buying

The GC Vault is a downloadable digital product bundle. Upon payment you receive a personal, non-exclusive, non-transferable license to use the included files in your own contracting business.

Your license includes:

• Use and customization of all templates on every job your licensed company runs
• Storage of copies on your personal or company devices for internal use only

Your license does not include:

• Reselling, redistributing, or sublicensing the files to any third party
• Sharing your download link
• Uploading the files to any public platform or file-sharing service
• Using the materials to build a competing product, course, or training program
• Removing BuildSmart Academy attribution or claiming authorship
• Using the materials in any coaching or training context without a written partner license

4. Intellectual Property

All content in The GC Vault is owned by BuildSmart Academy and protected by U.S. copyright law. Your purchase is a license to use the materials, not a transfer of ownership.

BuildSmart Academy and The GC Vault are trademarks of BuildSmart Academy. You may not use these names or marks without prior written permission.

5. Payment

All prices are in U.S. dollars. Payments are processed by Stripe. By completing your purchase you also agree to Stripe's Terms of Service.

• Payment is due in full at the time of purchase
• We accept major credit and debit cards supported by Stripe
• Prices are subject to change; the price shown at checkout is final for that transaction
• In the event of a failed payment or fraudulent chargeback, download access may be suspended pending resolution

6. Download Access

Your private download link is sent to the email address you provide at checkout, immediately after payment is confirmed. Download links do not expire.

• If your email does not arrive within 30 minutes, check your spam folder first, then contact support@buildsmart.academy
• We are not responsible for non-delivery caused by an incorrect email address at checkout
• Files are provided in PDF and/or Google Docs/Sheets format
• BuildSmart Academy may revoke download access if these Terms are violated

7. Refund Policy

All sales are final. We do not offer refunds. Please see our full Refund Policy for details, including the limited exceptions that apply (duplicate charges and undelivered download links).

8. Not Legal or Professional Advice

The GC Vault is an educational resource, not a substitute for professional legal, financial, or engineering advice.

• Contract templates are starting points — have them reviewed by a licensed attorney before use
• The permit guide covers general principles — always verify requirements with your local building department
• The estimating framework is a tool — you are responsible for all bids and pricing decisions

BuildSmart Academy is not liable for any outcome resulting from reliance on these materials without independent professional review.

9. No Warranties

THE GC VAULT AND ALL INCLUDED MATERIALS ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR ACCURACY.

We do not warrant that the materials are legally binding in every jurisdiction or that they will produce any specific business result.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUILDSMART ACADEMY'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE PRODUCT IS LIMITED TO THE AMOUNT YOU PAID.

WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR DAMAGES ARISING FROM YOUR USE OF CONTRACT TEMPLATES OR RELIANCE ON ESTIMATES.

11. Indemnification

You agree to defend, indemnify, and hold harmless BuildSmart Academy and its founders, employees, and agents from any claims, damages, losses, or expenses (including attorney's fees) arising from:

• Your use or misuse of the materials
• Your violation of these Terms
• Any contract you execute using our templates
• Your violation of any third-party rights

12. Termination

We may terminate your license and revoke download access immediately if you:

• Breach any provision of these Terms
• Redistribute or resell the materials without authorization
• Initiate a fraudulent chargeback

Upon termination, you must stop using all materials and delete all downloaded copies. Sections 4, 8, 9, 10, 11, 13, and 14 survive termination.

13. Dispute Resolution

Informal Resolution First: Before taking any formal action, contact us at support@buildsmart.academy. We will make a genuine effort to resolve your concern within 30 days.

Binding Arbitration: If informal resolution fails, any dispute arising from these Terms shall be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

CLASS ACTION WAIVER: YOU AGREE THAT ALL CLAIMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

Exception: Either party may seek emergency injunctive relief in court to protect intellectual property rights.

14. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. For matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts in Broward County, Florida.

15. Changes to These Terms

We may update these Terms periodically. When we do, we will update the effective date at the top of this page. For material changes, we will notify existing customers by email. Continued use of the product after updated Terms are posted constitutes your acceptance.

16. General

• Entire Agreement: These Terms, the Privacy Policy, and the Refund Policy make up the complete agreement between you and BuildSmart Academy.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• No Waiver: Failure to enforce any provision is not a waiver of future enforcement.
• Force Majeure: We are not liable for delays or failures caused by events outside our reasonable control.
• Assignment: You may not assign your rights under these Terms. We may assign ours without restriction.
